1. Title

The full title of the club shall be East Coast Cruising.

2. Objectives

The objectives of the club are to promote and further the interests of the members regarding cruising in company ;

(a) to keep members informed of any cruising events that are taking place within East Coast Cruising,

(b) to organise regular events on behalf of the members of East Coast Cruising,

(c) to encourage members to participate in cruises,

(d) to encourage members to put forward suggestions for cruises and to organise cruises themselves,

(e) to keep a register of current members (and past members to the extent it is possible and reasonable to retain such records),

(f) to maintain a club website to facilitate the sharing of information regarding East Coast Cruising and a forum for discussing and planning cruises.

3. Terms and Definitions

Throughout these rules the following defined terms will be used:

(a) “The club” shall mean East Coast Cruising or ECC.

(b) “Full member” Any Owner or part owner of a boat.

(c) “Associate member” A friend or member of a Full Members family. There is no limit to the number of associate members that can join a Full Member.

(d) “Crew member” A person who would like to be placed on our Crew Register, to act as crew for a Full Member

(e) “The Committee” shall mean the Committee of East Coast Cruising, consisting of duly elected committee members, and any co-opted members.

4. Membership

(a) The following types of membership shall be recognised as members of East Coast Cruising :

(i) Full Member.

(ii) Crew Member.

(iii) Associate Member.

(b) By becoming a member of East Coast Cruising, the member is providing their consent for East Coast Cruising to hold relevant personal data for the purposes of the General Data Protection Requirements.

(c) Every member shall furnish the Secretary and/or Treasurer with an up?to?date e-mail address which shall be recorded in the register of members of East Coast Cruising and any notice sent to such an address shall be deemed to have been duly delivered.

(d) Every member, upon joining and thereafter, is deemed to have notice of, and impliedly undertakes to comply with, the East Coast Cruising Rules. Any refusal or neglect to do so, or any conduct, which in the opinion of the Committee is either unworthy of a member or otherwise injurious to the interests of East Coast Cruising, shall render a member liable to expulsion by the Committee.

(e) Provided that, before expelling a member, the Committee shall call upon such member for a written explanation of the member’s conduct and shall give the member full opportunity of making explanation to the Committee, or of resigning.

(f) A Resolution to expel a member shall be carried by a simple majority vote by those members of the Committee present and voting on the Resolution.

5. Management

(a) The affairs of East Coast Cruising shall be managed by the Committee.

(b) The Committee shall consist of four Full Members of East Coast Cruising, elected at such time as a vacancy occurs. The Committee shall have the power to co-opt any person to assist it, whether a Full Member of the Association or not, but such persons shall have no vote in Committee.

(c) The Committee shall appoint a Treasurer, who shall control the funds of the Association, make such disbursements as the Committee shall direct and present an annual financial statement.

(d) The Treasurer and Chairman shall both be appointed signatories for the East Coast Cruising banks account. Either signatory will be able to make payments.

6. Power of the Committee

(a) Subject to the provision of this Constitution, and in particular to the objectives of East Coast Cruising, as expressed in Rule 2, the Committee shall be empowered to perform all the functions of management and administration of the East Coast Cruising.

(b) The making of payments shall be validly evidenced by the signature of the Treasurer or his/her deputy (as appointed by the Committee). The making of payments via electronic payment methods does not require physical signature by any Committee members, but the Treasurer will maintain a record of the payments for audit purposes.

(c) No member shall enter into any financial commitment on the part of East Coast Cruising without the express agreement of the Committee.

(d) The Committee may deny membership to, or remove membership from, any persons or organisation it deems as having objectives contrary to East Coast Cruising objectives or whose behaviour is, or may be, detrimental to East Coast Cruising.

(e) In pursuance of the authority vested in the Committee by members of East Coast Cruising, members of the Committee are indemnified by the members of East Coast Cruising against any liabilities properly incurred by them or any one of them on behalf of East Coast Cruising wherever the contract is of a duly authorised nature or could be assumed to be of a duly authorised nature and entered into on behalf of East Coast Cruising.

(f) The limit of any individual member’s indemnity in this respect shall be a sum equal to one year’s subscription at the then current rate of that category of membership, plus any member’s share of East Coast Cruising assets.

7. Subscriptions and Membership Fees

(a) Subscriptions payable for all categories of membership of East Coast Cruising shall be payable and shall become due on 1st January of the following year. A member joining East Coast Cruising, for the first time, after 1st September and whose subscription has been paid for that year, shall be entitled to a free membership for the following calendar year.

(b) Unless otherwise determined by East Coast Cruising, the annual subscription levels shall be the same as the subscription set for the previous year.

(c) Any member whose subscription has not been paid within three months of the date due may have his/her name removed from the list of members of East Coast Cruising by the Committee. A member’s name may be restored to the East Coast Cruising Members Register at the discretion of the Committee, on payment of the subscription due.

(d) No member whose annual payment is in arrears may enter any event run or facilitated by East Coast Cruising.

8. Accounts

(a) The Committee shall cause true accounts to be kept, giving particulars of:

(i) All monies, Assets and Liabilities of East Coast Cruising.

(ii) All monies received and expended by East Coast Cruising and the reasons for such receipts and expenditure.

(iii) All sales and purchases by East Coast Cruising.

(b) A copy of the annual financial statement, duly audited, shall be made available on request to every member.

9. Amendment of the Constitution

(a) This Constitution can only be amended by the committee.
